Clients remain solely responsible for the legality of their business activities, advertising claims, products, services, and website content.

5. Advertising Platforms and Third Parties

Melbul may manage campaigns across third party platforms including Google, Meta, LinkedIn, TikTok, YouTube, and other advertising networks.

Melbul is not affiliated with or endorsed by these platforms unless explicitly stated. Advertising platforms operate independently and may:

Reject advertisements.
Suspend advertising accounts.
Restrict targeting features.
Modify algorithms or policies.
Change pricing structures.
Limit campaign reach.
Melbul is not responsible for actions taken by third party platforms.

6. No Guaranteed Results

Melbul aims to provide high quality marketing services and measurable growth strategies. However, marketing and advertising outcomes depend on numerous external factors beyond reasonable control.

Melbul does not guarantee:

Specific revenue increases.
Specific return on ad spend.
Specific lead volume.
Search engine rankings.
Advertising approval.
Virality.
Sales conversions.
Business profitability.
Past performance does not guarantee future results.

7. Payments and Billing

Clients agree to pay all fees specified in applicable agreements, invoices, or proposals.

Unless otherwise agreed:

Invoices are payable according to the payment terms stated.
Late payments may result in suspension of services.
Advertising spend is separate from agency fees unless explicitly stated.
Payment processing fees, taxes, and banking charges may apply.
Melbul reserves the right to charge interest on overdue amounts where permitted by law.

8. Refund Policy

Due to the nature of digital marketing, advertising, consulting, and creative services, all services provided by Melbul are considered time based, knowledge based, and resource intensive. As such, all payments made to Melbul are, to the fullest extent permitted by law, non refundable.

Without limitation, no refunds shall be provided for:

Completed work.
Partially completed work.
Time allocated to strategy, planning, or consultation.
Campaign setup, optimization, or management.
Creative production, design, or copywriting.
Technical implementations.
Software, tools, or third party integrations.
Delays caused by client inaction or failure to provide required materials.
Dissatisfaction with subjective elements such as design, messaging, or performance expectations.
Market conditions, algorithm changes, or external factors affecting performance.
Where services are provided on a recurring basis, cancellation will not entitle the client to any refund for the current billing period.
If a refund is issued in exceptional circumstances, it shall be at the sole discretion of Melbul and may be subject to administrative fees, work deductions, transaction costs, and any third party expenses already incurred.
Chargebacks, payment disputes, or unauthorized reversals are strictly prohibited. In the event of a chargeback attempt, Melbul reserves the right to:

Immediately suspend all services.
Terminate agreements without notice.
Recover outstanding balances.
Pursue legal action.
Report the matter to payment processors or relevant authorities.

The client agrees that initiating a chargeback without first attempting resolution constitutes a material breach of these Terms.

9. Intellectual Property

All website content including text, graphics, logos, branding, design elements, software, videos, strategies, frameworks, and marketing materials are the intellectual property of Melbul unless otherwise stated.

Clients may not reproduce, distribute, modify, reverse engineer, or commercially exploit Melbul intellectual property without prior written consent.

Upon full payment, clients may receive ownership or usage rights to specific deliverables as outlined in their service agreement.

Melbul may retain ownership of:

Internal processes.
Templates.
Frameworks.
Software tools.
Methodologies.

10. Confidentiality

Both parties agree to maintain confidentiality regarding non public business information disclosed during the course of a professional relationship.

Confidential information shall not include information that:

You agree to indemnify and hold harmless Melbul, its employees, contractors, affiliates, and representatives from claims, liabilities, damages, costs, and expenses arising from:

Your misuse of the website.
Violation of these Terms.
Violation of advertising laws.
Client supplied content.
Intellectual property infringement.
Fraudulent or misleading advertising.

18. Termination

Melbul reserves the absolute right to suspend, restrict, or terminate services, access, or agreements at any time, with or without notice, where reasonably necessary to protect its business interests.

Grounds for termination may include, but are not limited to:

Failure to make timely payments.
Breach of these Terms or any agreement.
Unlawful, deceptive, or unethical business practices.
Harassment, abuse, or unprofessional conduct toward Melbul personnel.
Provision of false or misleading information.
Failure to cooperate or provide required assets.

Upon termination:

All outstanding fees become immediately due.
All services will cease.
Access to deliverables, accounts, or systems may be revoked.
Any licenses granted may be withdrawn subject to applicable law.

Clients may terminate services in accordance with their agreement, however:

Notice periods must be strictly followed.
Fees for the notice period remain payable in full.
No refunds shall be issued.

Melbul shall not be liable for any losses arising from termination, including loss of revenue, data, or business opportunities.

19. Governing Law

These Terms and Conditions, any related agreements, and any disputes, claims, or controversies arising out of or relating to the use of the website or services shall be governed by and construed in accordance with the laws of the Republic of Poland. To the fullest extent permitted by law, the parties agree that any disputes shall be subject to the exclusive jurisdiction of the competent courts of Poland.

Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve disputes through negotiation. Melbul may, at its sole discretion, offer mediation or alternative dispute resolution mechanisms, however such mechanisms shall not be mandatory unless required by applicable law.

Nothing in this section limits Melbul’s right to seek injunctive or equitable relief in any jurisdiction where necessary to protect its intellectual property, confidential information, or business interests.
